1. GENERAL
1.1 Applicability
1.1.1 These conditions are applicable to all proposals and/or deliveries made by YourmailID and agreements and/or other legal relationships between YourmailID and Customer, the resulting provisions and related activities regardless of whether or not they are based on a verbal, written and/or electronic agreement, unless otherwise agreed upon in writing. By entering into an agreement with YourmailID, by making use of the Service and/or by placing a bid on a First Right of Use, you accept these terms and conditions to be applicable.
1.1.2 Purchase conditions or any other conditions used by Customer will not be applicable. The applicability of purchase conditions or any other conditions from Customer or from third parties on behalf of Customer is therefore expressly rejected by YourmailID, unless explicitly accepted in writing by YourmailID.
1.1.3 The General Conditions YourmailID are filed with the Chamber of Commerce in Utrecht under number 30218937.
1.1.4 YourmailID reserves the right to make alterations and/or additions to the General Conditions YourmailID. The modified General Conditions YourmailID will become applicable, unless objections against modifications are made in writing within 30 (thirty) days of the notification date of the change.
1.1.5 Changes in and additions to the General Conditions YourmailID and/or agreements made between YourmailID and Customer are only valid when agreed to by YourmailID in writing.
1.1.6 The headings above the articles of these conditions are only intended to increase the legibility of this document. The content and meaning of an article placed under a particular heading is, therefore, not limited to the meaning and content of the heading.
1.2 Definitions
1.2.1 In the General Conditions YourmailID the following words and expressions are used with a capital. Any of the following words and expressions shown in the singular shall have the same meaning when used in the plural and vice-versa.
1.2.2 Customer: Anyone who requests and orders the delivery of Services.
1.2.3 Earning Fee: As described in article 3.1. The value of the Earning Fee is specified in the YourmailID pricelist as published on the website www.yourmailid.com.
1.2.4 Error: As further described in article 2.8.
1.2.5 Fair Use: The reasonable use by Customer of the Products.
1.2.6 First Right of Use: The first right of use and other privileges as described in article 3 of the Service regarding a specific domain name appointed by Customer in relation to the Service and registered by YourmailID.
1.2.7 Identification Codes: Usernames, passwords, address codes and/or other codes.
1.2.8 Minimum Earning Threshold: The minimum amount of all fees earned during a contract year by the holder of the First Right of Use regarding a specific domain name (the yearly total of all Earning Fees). This minimum amount is specified on the YourmailID pricelist as published on the website www.yourmailid.com.
1.2.9 Workdays: Normal Dutch working hours (8.30-17.30 CET) and days (Monday through Friday) with the exception of public holidays.
1.2.10 Service: The provision of an ASP (Application Service Provider)-service which constitutes the provision by YourmailID of an e-mail redirection service and related trading service through a web-based application.
1.2.11 YourmailID: Webclinic B.V. or its rightful successor.
1.3 Offers
1.3.1 All offers made are without engagement.
1.4 Confirmation
1.4.1 All agreements, assignments or other expressions of whatever nature by (employees of) YourmailID are only valid and binding when they have been confirmed e-mail by authorized representatives of YourmailID.
1.5 Agreements
1.5.1 An agreement between YourmailID and Customer for the provision of Sevices has a term of 1 (one) year, unless explicitly agreed upon otherwise.
1.5.2 Each party has the right to terminate the agreement wholly or partially without judicial intervention by means of an e-mail. This can be done if, after notifying the breaching party in writing/by e-mail of a failure to fulfill their obligations, they then fail to meet the aforesaid obligations within a reasonable period of time.
1.5.3 YourmailID has the right to immediately terminate the agreement wholly or partially without judicial intervention through means of a non-judicial declaration if Customer becomes deceased, if Customer submits a legal request for debt restructuring, if bankruptcy or suspension of payment has been filed for Customer. In these cases, any claim by YourmailID will be immediately due.
1.5.4 After the agreement has been ended, for any reason, Customer can no longer obtain the Services and/or any other of the rights provided by the agreement, leaving unhindered the existence of the obligations of both parties which by their nature continue automatically after the conclusion of their agreement, such as but not limited to, obligations concerning property rights and payments.
1.6 Co-operation/Information Requirements For Customer
1.6.1 All assignments are carried out by YourmailID on the basis of data, information, requests and/or requirements made known to YourmailID by Customer.
1.6.2 Customer shall provide all necessary cooperation to YourmailID and shall make known in time all useful and necessary data and/or other information required for an adequate execution of the agreement. Customer shall ensure the accuracy of this data and/or other information.
1.6.3 If necessary for execution of the agreement data, information and/or requirements are not, and/or not in time, and/or not in accordance with the agreements, made available to YourmailID, or if Customer fails to meet its obligations in any other way, YourmailID has in any case the right to terminate or dissolve the agreement or to suspend execution of the agreement.
1.7 Warranty/ Liability
1.7.1 YourmailID does explicitly makes no representations about and/or does not warrant that: a) the Service shall function without interruption or without Errors, is suitable for every intended use of Customer and/or will lead to results desired by Customer; b) all domain names appointed by Customer can and/or will be registerred and/or made availiable by YourmailID; c) a First Right of Use will gererate any income and/or profit. Customer assumes all risks of use of the Service.
1.7.2 YourmailID and/or its suppliers shall in no event be liable for any direct, indirect, incidental, special, punitive, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Service, with the delay or inability to use the Service or related services, the provision of or failure to provide services, or for any information and/or content send/redirected through the Service, or otherwise arising out of the use of the Service, whether based on contract, tort, negligence, strict liability or otherwise. Note that some national jurisdictions do not allow (all of) the exclusion or limitation of liability of damages and that the above mentioned limitation may not apply to you. However the liability of YourmailID and/or its suppliers will at all times be limited to the maximum extend as permitted by applicable law and/or will only constitute a refund of the fees actually paid by Customer for the Services for the duration of one (1) year.
1.8 Transfer
1.8.1 The agreement between YourmailID and Customer and the rights and obligations, which derive from this agreement, cannot be transferred to a third party by Customer without the prior written consent from YourmailID. However, Customer is allowed to trade his First Right of Use according to the terms as set foth in article 3.
1.9 Force Majeure
1.9.1 Neither party is obligated to fulfill any obligation if they are prevented from doing so as a result of circumstances, which can be considered beyond their fault, and by law, legal act, or generally accepted practices cannot be held accountable for. The aforementioned circumstances include circumstances that are beyond YourmailID's power as well as business risks of YourmailID, these include but are not limited to failure to perform by a supplier of YourmailID, the late or non-availability of required information and specifications and/or changes in such information, bad weather conditions, fire, explosions, electricity failures, network failures, floods, illness, lack of staff, strike or other employment conflicts, accidents, actions by the government, not being able to obtain required licenses and/or permits, lack of materials, theft, traffic disruptions and/or transportation problems.
1.9.2 When force majeure is of a temporary nature, YourmailID has the right to suspend its commitments until force majeure has ceased to exist without being obliged to any form of damage compensation.
1.9.3 YourmailID reserves the right, in the case of force majeure, to collect payment for obligations already fulfilled before force majeure was known.
1.9.4 In the event that force majeure of either party surpasses a month period, either party has the right to terminate the agreement without being obliged to any form of damage compensation regarding such termination.
1.10 Nullity
1.10.1 If one or more terms (or part of a term) of the agreement are nullified, declared to be nullified, annihilaable or have lost their validity in another way, the other terms (or part of the term in question) of this agreement will remain in force undiminished.
1.10.2 In regard to terms (or part of the term) that are nullified, declared to be nullified, annihilable or lose their validity in another way, parties shall consult with each other to try to reach a substitute arrangement with in which the parties shall strive for the maintenance of this agreement (or the remainder of the term in question) in its totality.
1.11 Activities
1.11.1 Any activities, the Service and other services will take place at best effort and without interruption on Workdays and under normal working conditions.
1.11.2 YourmailID is entitled, without the explicit consent of Customer, to make use of third parties when performing activities.
1.12 (Delivery) Dates
1.12.1 All (delivery) dates which may be named by and may be applicable to YourmailID are determined to the best of YourmailID?s knowledge on the basis of information made known to YourmailID and will be taken into consideration as much as possible.
1.12.2 (Delivery) dates shall therefore not be considered to be absolute (delivery) dates within which must be delivered, but a time period within which YourmailID shall strive with best efforts to deliver the agreed upon items. If it is not possible to keep to the (delivery) date, then YourmailID and Customer will consult with each other to agree on a substitute (delivery) date.
1.12.3 Exceeding a given (delivery) date which may be applicable never constitutes an attributable shortcoming by YourmailID. YourmailID does not accept liability under any circumstances in cases where the (delivery) date may be exceeded.
1.13 Reservations
1.13.1 YourmailID shall commence execution of the agreement between YourmailID and Customer only after having received payment of all amounts due fully and on time.
1.14 Delivery
1.14.1 The delivery of services by or through YourmailID takes place at the place and time that the Services are performed. 1.15 Prices and Payments
1.15.1 YourmailID has the right to charge payments in Advance. If full payment of the Advance is not made, YourmailID has the right, undiminished its other rights that may derive from the agreement, to suspend all its obligations and all amounts owned by Customer will be immediately due.
1.15.2 All prices/fees are in Euro?s and include VAT and other levies imposed by the government.
1.15.3 YourmailID will invoice the amount, appropriately itemized, owed by Customer on a yearly basis to Customer. These payments will not be subject to compensation or deduction other than when permitted by law.
1.15.4 Should Customer fail to fulfill any obligation, Customer is in breach without any further notification of breach being required. YourmailID reserves the right to charge all incurred costs to Customer, including judicial and extra-judicial expenses, with regard to the collection of debts from Customer. Extra-judicial collection costs amount to 15% of the debt, with a minimum of Euro 500, (five hundred). In any case Customer will be charged interest on a monthly basis, at the legal trade percentage rate, on all outstanding debts starting from the date of failure to pay.
1.15.5 Until full payment has been made, YourmailID has the right to suspend all services and obligations to Customer. The Customer's obligation to meet Customer's commitments remains unchanged.
1.15.6 Compensation for the Provision of the Service and any other annual or periodic amounts are due as an Advance and shall be billed to Customer, appropriately itemized prior to each year or other period that the agreement between parties continues.
1.15.7 YourmailID is entitled to change its prices, Earning Fee and/or the Minimum Earning Threshold at the end of each contract year. YourmailID will offer Customer the possibility to become acquainted with these possible changes. The new prices, Earning Fee and/or the Minimum Earning Threshold will automatically apply to each renewal/ continuation of the agreement. If Customer does not agree with these changes, Customer has the right to end the agreement.
1.15.8 Above mentioned paragraphs leave all the legal rights of YourmailID unhindered, when Customer fails to meet Customer's commitments.
1.16 Intellectual Property Rights
1.16.1 YourmailID has the exclusive right to further develop the YourmailID Services and/or market the domain names directly related to the Services and place them at the disposal of third parties by means of licenses.
1.16.2 Except where third party products and/or services are concerned, all intellectual property rights, industrial property rights and other rights resulting from all activities carried out by YourmailID and/or its Service, regardless of where and when carried out and regardless of whether it concerns domain names thought of and/or proposed by Customer, reside with YourmailID. 1.16.3 Customer acknowledges that all present and future intellectual property rights, industrial property rights, other rights and the registration and/or application of the foregoing rights and/or similar rights for the whole term thereof and all renewals or extensions thereof, now or at any time in the future worldwide at all times shall be and are hereby assigned or will be transferred to YourmailID.
1.17 Applicable Law and Dispute Mechanism
1.17.1 All agreements made between YourmailID and Customer are governed by the laws of The Netherlands. Parties explicitly agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) is not applicable. 1.17.2 Any disagreement between parties because of any agreement will be placed before a qualified court in Utrecht, The Netherlands.
2. YOURMAILID SERVICE
2.1 General
2.1.1 When YourmailID registers a domain name at Customers request, YourmailID will be the sole owner of the domain name. YourmailID only registers the domain name to be able to provide Customer and/or third parties the Service regarding the specific domain name.
2.1.2 Customer explicitly declares to be aware of the fact that Customer will not own the domain name and will only get a limited user right as stated in article 2.2.
2.1.3 The Service will only take place at a location approved by YourmailID and on the equipment approved by YourmailID.
2.1.4 YourmailID is entitled, without any compensation to Customer, to make adjustments and/or changes in the Service offered such as but not limited to: a) entrance procedures, such as: ? procedures regarding operational rules; ? security procedures. b) changes in a third party provider/supplier, location, hardware, software and other facilities necessary for the provision of the Service.
2.1.5 Customer is required to follow instructions given by YourmailID regarding the Service.
2.1.6 If reasonably possible, YourmailID will inform Customer prior to the commencement of intended maintenance with regard to the Service, if maintenance will lead to problems with regard to gaining access to the Service or the non-availability of the Service. In this case YourmailID shall strive to have maintenance taking place outside Workdays. Other maintenance will take place during Workdays.
2.2 User Rights to the Service
2.2.1 Customer is granted the non exclusive right to use the Service.
2.2.2 User rights are limited exclusively to own use of the Service by Customer. The e-mail forwarding via the Service may not be used for commercial purposes.
2.2.3 User rights on the Service cannot be transferred to any third party, without prior written approval of YourmailID.
2.2.4 Customer does not have the right to make the Service available, under any title or in any way whatsoever, to any third party.
2.2.5 The user rights shall go into effect after Customer has made the required payments and fulfilled its other obligations. 2.2.6 The right to use the Service shall automatically end at the moment the Customer is in breach of the agreement.
2.3 Responsibilities YourmailID regarding the Service
2.3.1 YourmailID will take care of the provision of the Service. YourmailID will on a best effort basis and where influential by YourmailID strive to a high availability of the Service.
2.3.2 YourmailID does not guarantee, amongst others, that the telephone lines, the Internet and/or other networks will offer optimal access in the event YourmailID depends on third party telecommunication providers for the use and/or provision of the connection.
2.3.3 YourmailID does not have any obligations with regard to availability, reliability and/or other performance requirements with regard to the telephone lines, the Internet, other networks and/or third party internet/e-mail providers and the resulting provisions.
2.3.4 YourmailID will strive to provide all useful and necessary measures to ensure adequate operability and continuity of the Service. YourmailID makes use of the in the market most recent and most used virus protection programs.
2.3.5 YourmailID will strive, in accordance with the most current technology available, to provide adequate physical and logical security measures against unauthorized access by third parties to computer systems or computer programs used by YourmailID and/or stored Process-data.
2.4 Requirements Customer regarding the Service
2.4.1 Customer is solely responsible for having an (working) e-mail account/mailbox at a third party service provider to which the Service can redirect the data/e-mail.
2.4.2 If Customer orders YourmailID to register a new domain name for the provision of the Service, Customer shall declare and vouch for the fact that neither the domain name nor its use violates the rights of any third party. Customer shall be solely responsible and indemnify YourmailID for all cost regarding such violations.
2.4.3 Customer will follow the instructions given by YourmailID regarding Fair Use. If Customer fails to follow the instructions given by YourmailID, YourmailID will be entitled through technical means to reduce the overload or in the case of a continuous overload to stop the provision of the Service to Customer. YourmailID will never be liable for damage of whatever nature that is incurred by Customer and/or third parties as a result of the measures undertaken by YourmailID.
2.4.4 In the event Customer signals a malfunction, this will immediately have to be reported to YourmailID. After Customer has notified YourmailID of the malfunction, YourmailID will take the necessary steps, which will lead or could lead to a solution. 2.4.5 Customer explicitly agrees with the registration of personal data in the privacy registration of YourmailID for administrative and management purposes. The privacy registration will contain, amongst others, personal data , log-data and Identification. Our privacy policy applies.
2.5 Use of Identification Codes
2.5.1 YourmailID will make Identification Codes solely available to Customer for the use of the Service. Customer will use these Identification Codes with care. Customer will notify YourmailID in the event of loss, theft and/or other forms of unauthorized use, in order to enable parties to take the proper actions.
2.5.2 Customer carries all responsibility, liability and costs related to the use of Identification Codes used and/or distributed by Customer. In no event will YourmailID be liable for the misuse and/or unauthorized use of Identification Codes.
2.5.3 If there is a reasonable suspicion of misuse or unauthorized use of Identification Codes, YourmailID can provide Customer with the necessary instructions, which must be carried out.
2.5.4 If it is determined that misuse has been made of Identification Codes or if Customer ignores instructions given as set out in article 2.5.3, Customer will be immediately in breach.
2.6 Data/e-mail Traffic From Customer
2.6.1 YourmailID does not control or have any insight in the data/email traffic from and/or to Customer. YourmailID is merely a passive conduit. YourmailID does not give any warranties with regard to content of data/e-mail such as but not limited to reliability and completeness.
2.6.2 The Service explicitly does not include data/e-mail storage. Regarding data, the Service only provides in redirecting data/e-mails to a user defined location at a third party service provider of Customers? choice.
2.6.3 Customer is responsible for the content of data traffic originating from and/or sent to Customer. Where applicable the Code of Conduct as set out in article 2.7 will apply to Customer.
2.6.4 Customer indemnifies and will keep YourmailID free from any damage compensation regarding any claim, accusation or court procedure from a third party with regard to the (content of) the data traffic or the information originating from Customer. 2.7 Code of Conduct
2.7.1 Customer will make use of the Service and/or other facilities offered in a responsible manner. It is prohibited to use the Service and/or other facilities offered in a manner that will result in: a) damage in the system of YourmailID and/or third parties; b) interference with its use.
2.7.2 It is not permitted to use the Service and/or facilities offered for activities that are illegal and/or in violation of the agreement. The foregoing includes amongst others the following activities: a) the violation of a third parties rights or making it possible to violate third party rights, such as but not limited to intellectual property rights and privacy rights; b) the noncompliance to law and other applicable regulations; c) spamming (un-requested distribution (or creating the possibility for third parties) of advertisement and/or other messages); d) distribution of (child) pornography; e) sexual intimidation, racial prejudice and/or the harassment of individuals in any other manner; f) distribution or the making available to third parties of obscene, insulting and tormenting material and/or other material of similar nature; g) threats; h) distribution of viruses, worms and/or other destructive activities; i) unauthorized access (hacking) of accounts, systems and/or networks of third parties and/or YourmailID and/or the performance or non-performance that make hacking possible.
2.7.3 YourmailID reserves the right, at its own discretion, if forced by law or a court order and/or a third party informs YourmailID and/or a suspicion exists that through the Service a violation is made of the rights of a third party, there is a breach of the General Conditions YourmailID and/or the agreement and the resulting obligations in question have not been met wholly or partially, to stop access to the Service and/or other facilities offered, to remove and/or transfer and/or stop the use of the domain name in question and/or suspend its other obligations, this until the obligations have been met.
2.7.4 YourmailID and/or third parties will never be liable for damage of whatever nature suffered by Customer or third parties for measures taken by and/or on behalf of YourmailID on the basis of article 2.7.3. Payment obligations will remain in effect during the time period in which measures are undertaken by and/or on behalf of YourmailID on the basis of article 2.7.3. 2.7.5 If the actions and/or failure to act of Customer justifies this and/or the actions and/or failure to act of Customer continues regardless of the measures under taken by YourmailID, as set out in article 2.7.3, YourmailID will be entitled in accordance with article 1.5.3 to terminate the agreement, without any damage compensation or restitution of monies paid being required. 2.8 Errors
2.8.1 Error(s) means the failure to fulfill the functional specifications set down in writing and/or published by YourmailID on its website (www.yourmailid.com) by YourmailID. An Error only exists where such can be demonstrated and reproduced. The Customer is required to immediately report possible Errors to YourmailID.
2.8.2 The repair of Errors shall take place at the location to be determined by YourmailID. YourmailID is entitled to install temporary solutions, emergency solutions, detours and/or other problem-avoiding restrictions in the Products.
3. EARNINGS/ FIRST RIGHT OF USE
3.1 Earning Fee/ Minimum Earning Threshold
3.1.1 Customer who has gained a First Right of Use regarding a domain name is entitled to a specific fee a year per extra user of the domain name (?Earning Fee?). YourmailID shall pay the Customer with the First Right of Use these Earning Fees if the total of these fees exceeds the Minimum Earning Threshold at the end of a contract year. Customer shall explicitly have no right to any fee and/or payment if the total of all Earning Fees does not exceed the Minimum Earning Threshold.
3.1.2 YourmailID shall pay Customer, subject to article 3.1, the Earning Fees it is entitled to within 40 (forty) days after the ending of the specific contract year. YourmailID is at all times entitled to use these Earning Fees as a compensation for possible fees/payments owed by Customer to YourmailID and/or deduct these Earning Fees from possible fees/payments owed by Customer to YourmailID.
3.2 Selling in general
3.2.1 Customer has the right to sell his First User Right at Customers own discretion via YourmailID and its Service. YourmailID shall as part of the Service strive to sell a First Right of Use for Customer to another Customer, subject to articles 3.3 and 3.4. If a First Right of Use is sold successfully, YourMailID is entiteled to a 10% fee of the sale price. A First Right of Use can explicitly not be sold outside of the domain/Service of YourmailID.com (without involving YourmailID) and the buyer must commit himself to the terms of use of the Service.
3.2.2 After offering your First Right of Use for sale, you are obligated to complete the transaction if any bids have been made. Offers are only retractable as long as the (minimum) price has not been bid.
3.2.3 At all times the General Conditions YourmailID stay applicable regarding the First Right of Use, even if it was transferred to another Customer.
3.2.4 No sale shall be considered complete until the buyer has made final and full payment to YourmailID.
3.2.5 Within 30 (thirty) days after receiving full payment from buyer, YourmailID shall pay Customer and will the First Right of Use be transferred to the buyer.
3.3 Selling at fixed price
3.3.1 Customer has the right to sell its First Right of Use to other Customers of YourmailID via YourmailID. Customer can determine the price at its sole discretion.
3.4 Selling at Auction
3.4.1 Customer has the right to sell its First Right of Use to other Customers of YourmailID via YourmailID. Customer can make use of the auction-service, which is part of the Service. Customer can determine a minimum price for the First Right of Use.
3.4.2 Bids may not be manipulated in any way. Sellers are not allowed to bid on their own First Right of Use, and shill bidding (the deliberate use of aliases, friends, family members, or associates to drive up the bid price of an item) is strictly prohibited. YourmailID may immediately cancel bids which are deemed to be manipulative and suspend an offending bidder's or seller's account.
3.5 Buying a First Right of Use
3.5.1 By submitting a bid, you are agreeing that you have read and accepted these General Conditions YourmailID.
3.5.2 As a first bidder at a fixed price and/or if you have the highest bid at the end of an auction (at or above the minimum bid price), you are obligated to complete the transaction. Bids are not retractable.
3.5.3 If a First Right of Use is sold successfully, YourMailID is entiteled to a 10% fee of the sale price. Buyer shall owe YourMailID this 10% on top of the bidding price.
3.5.4 Within 30 (thirty) days after receiving full payment from buyer, the First Right of Use shall be transferred to the buyer.
3.5.5 At all times the General Conditions YourmailID stay applicable regarding the First Right of Use, even if it was transferred to another Customer. The buyer of a First Right of Use explicitly commits himself to the terms and conditions set forth in these General Conditions YourmailID.
